Clever Marketing on the Madrid stock exchange until the year 2012.

A listed company is identified in the market as a guarantee of solvency, transparency and prestige. A company which is prepared to be quoted on the stock market is well organised and managed. This prestige is recognised not only by investors, but also by clients, suppliers and financial executives of the company. Companies can capitalise on many advantages arising from the listing; the Bolsa de Madrid is today a business opportunity. The logotype “Listed Company” is a symbol of this recognition in the market.


The Spanish stock market is a great opportunity for individuals and companies to accumulate assets is a young but regulated market. The Ibex 35 is outperforming other stock exchanges in Europe. To date the ibex 35 has gained 23 % over 2006. In comparison, the Dutch stock exchange (AEX) has gained only 11% this year.


One of the factors that have contributed to the rise of the Spanish stock exchange index (the IBEX 35) is the (expected) takeover premium that is prized in the different stocks. Endesa for example -- the electricity company -- has more than doubled its value has been the first company that has been re-valued because of two takeover bids; the first from Gas Natural -- the Spanish Gas supplier and later on an increased bid has been launched by the German Electricity supplier -- E-On. Endesa’s stock has risen from 22 euro in January to 34 Euro currently.


The Spanish stock exchange seems to offer similar opportunities like the German stock exchange in the 80s or the new technology boom in the 90s on the NASDAQ. Especially new listings represent a great opportunity. Sometimes new stocks may double or triple their original value in a matter of days.


In order to achieve this goal we need to strive for compliance with the following requirements of the Spanish stock exchange.


• The company must have a minimum share capital of 1.202.025 euros. In order to determine the minimum, the capital held by shareholders who own, directly or indirectly, a stake of 25 per cent or more is not taken into account.


• Profits in the two previous years or three non-consecutive years in a five-year period must be sufficient to distribute a dividend of at least 6 per cent of the paid-out capital after taxes and the necessary allocations to reserves.


Fulfilment of this condition does not lie in having distributed dividends in the past, but the possibility of generating profits to pay dividends in the future.


Under the Ministerial Order of June 19, 1997 (Official State Bulletin 21.6.97) modified by Ministerial Order of December 22,1999 (Official State bulletin 30.12.99) , the National Securities Market Commission is allowed to waive the profit requirements in certain circumstances.


• The existence of at least 100 shareholders, each with less than 25 per cent of the capital.


The reason for this condition is so that the capital is spread among a collective of shareholders, which enables a minimum level of liquidity to be reached. Share offerings or subscriptions that tend to accompany listings capture a number of investors much higher than this minimum.


Clever Marketing is offering private sales of shares to interested parties.


Capital gained from the sale of shares will be reinvested 100 % in the company and used for expansion and marketing. We are looking for 98 investors purchasing a total of 5.000 shares at a price of 250 Euros each. None of the individual Investors can acquire more then 20 % individually. Every time a purchase is made the full amount will be reinvested into the company and the share capital will be increased by that amount until we reach the necessary 1.202.025 Euros in share capital.
